Joint venture is a relative new phenomenon which appeared in Vietnam only in the past five years. Since the date ofpromulgation ofForeign Investment Law of Vietnam in 1987, 470 joint ventures have been established of which 21.8% are tourism joint ventures. Some of them, especially tourismjoint ventures have already realizedprofits and continue to peiform efficiently. Vietnamese Investment Law has been considered one ofthe most open-laws in Asia. Although Vietnamese Investment environment appears attractive, we observe that in practice, a lot of problems exist for both partners such as: lack of capital, US embargo against Vietnam, the inconsistency ofpolicies, poor infrastructure as well as inadequacy ofskilled-labors, management skills, Vietrtam 's banking system,etc. Based on the study, we identify some ofthe problems and offer points ofconsideration to firms interested in forming or establishing a tourism joint venture in Vietnam.
