This research would aim to study experience of BOT projects in Vietnam and Thailand then try to draw lessons that are most suitable to Vietnam in order to give some recommendations for applying BOT schemes more effectively. The environment is analysed to determine some current problems facing by BOT projects in Vietnam. They are choosing the concessionaire, legal capital requirement, equity warranty, cost structure determination and some other issues. Three BOT projects in Thailand are taken as examples to get experiences for future BOT projects in Vietnam. Last but not least, some recommendations are suggested to improve implementation of BOT projects in Vietnam context. These suggestions focus on how to attract private investment, how to make BOT projects in Vietnam become as what it really mean and the way to financialize BOT project by stock market.
