520 _aChina has very richness in water resource. It has only been exploited about threetenth. The lack of sufficient funds with the government is one of the most important factors. Not profoundly exploiting external fund sources is another important factor. The study attempts to identify ways to successfully implement investment and financing hydropower project in China by examining the process of project financing and appraisal for the Xiaolangdi project and assessment the investment viability and risk from both China's and international investor's points of view. A framework is given. Data collection was conducted from the anthor's previous working background, first-handed and secondary sources, in-depth interviews concerning Xiaolangdi project and some financial institutions. Through the economic, financial and risk analysis 'of the Xiaolangdi Project, the results and the key findings of this study can be summarized as follows. The investment of Xiaolangdi Project can get remarkable profit and will not cause serious environmental problems. The most serious impacts resulted from a delay in the Project's completion date is that it would reduce the overall net present value by 75%. To minimize potential risks associated with the execution of this project, assurances were obtained from the Government. The funding structure and financing sources of the project are not very reasonable. The author gives the following suggestions. The large loans syndicated from external sources are recommended. The Chinese government should pass laws to attract valuable investors and lenders and private power producers to invest. Bonds and debentures should be used in the financing structure. The monopsony power should be broken. The competitive bidding system's transparent should be increased.
